Madde 1 : Taraflar ve Tanımlar

(WEBENFO YAZILIM olarak anılacaktır) ile ................................................................................................................................................................................... adresinde mukim ................................................................................................................ (MÜŞTERİ olarak anılacaktır) arasında imzalanmıştır.

Sözleşmeye konu websitesinin yapıldığı alan adı...............................................................’dur.

Madde 2 : Sözleşme Konusu

İşbu sözleşme MÜŞTERİ’nin iletişim, tanıtım, reklam ve benzeri hizmetleri yürütebilmek amacıyla ihtiyaç duyduğu internet sitesi yazılımlarının WEBENFO YAZILIM tarafından hazırlanması hizmetini kapsamaktadır.

Madde 3 : WEBENFO YAZILIM’ın Yükümlülükleri

1. WEBENFO YAZILIM, MÜŞTERİ’nin tanıtım, reklam ve bilgi edinme için ihtiyaç duyduğu yazılımları (Web sitesi) MÜŞTERİ’nin kullanabileceği şekilde kurulumunu yaparak, internet ortamında yayına hazır hale getirmekle yükümlüdür.

2. 2. Madde 3.1deki edim yerine getirildikten sonra MÜŞTERİ tarafından talep edilen ek tasarım (tasarım ve kod değişikliği gerektiren düzeltmeler, sayfa eklemeler) ek ücrete tabidir.

3. MÜŞTERİ için hazırlanmış tasarımdaki mevcut bölümlerdeki basit değişiklikler veya rötuşlar (komple tasarım ve kod/blok/div değişikliği gerektirmeyen düzeltmeler) için, gerekli çalışmayı tamamladıktan sonra WEBENFO YAZILIM’ın belirleyeceği en kısa süre içinde gerekli düzenleme ve ilaveleri sisteme entegre edeceğini beyan eder. Bu düzeltmeler için ayrıca ek ücret alınmayacaktır.

Madde 4 : Müşterin'in Yükümlülükleri

1. MÜŞTERİ, web tabanlı yazılımların yükleneceği sunucu (server /hosting) sistemini ve bu sistemin çalışabilmesi için gerekli donanım/yazılım gereksinimlerini kendisi tedarik etmekle yükümlüdür.

2. MÜŞTERİ, Web tasarımın düzenlenmesi ve tasarlanması aşamasında gerekli olan resim ve yazılı dökümanları kendisi tedarik etmeli veya ettirmeli, resimleri bilgisayar ortamında veya yüksek kalitede WEBENFO YAZILIM'a iletmelidir. Müşterinin gerekli dökümanları zamanında vermemesinden kaynaklanan gecikmeden dolayı WEBENFO YAZILIM sorumlu tutulamaz.

3. MÜŞTERİ, web sitesine ait yönetici paneli veya yönetim programı olması durumunda site içeriğini kendisi oluşturmak ve bilgileri siteye eklemekle yükümlüdür.

4. MÜŞTERİ, WEBENFO YAZILIM tarafından üretilen yazılımlarda kullanılan özel yazılım tekniklerinin telif hakkının WEBENFO YAZILIM’a ait olduğunu, bu yazılımların hiçbir şekilde çoğaltılıp, dağıtılmayacağını kabul ve beyan eder.

5. MÜŞTERİ, dile getirdiği tüm fikir, düşünce, ifade, yorum ve yazıların kendisine ait olduğunu, WEBENFO YAZILIM'ın hiçbir şekilde sorumlu olmadığını kabul ve beyan eder.

6. MÜŞTERİ, kendisine ait tüm yedeklerin ve verilerin güvenliğinden sorumludur. Herhangi bir sebepten dolayı bilgi kaybı yaşandığında WEBENFO YAZILIM mesul olmayacaktır. MÜŞTERİ bu durumdan doğabilecek zararlardan dolayı WEBENFO YAZILIM’dan herhangi bir hak veya tazminat talebinde bulunamaz.

7. MÜŞTERİ, hizmetlerle ilgili oluşabilecek yazılımsal hataları ve sorunları bildirmekle yükümlüdür.

8. MÜŞTERİ sözleşmenin konusu olan websitesinin, alan adı dışında başka bir alan adına taşınması ve veya başka bir alan adında kullanılması yayına başlanması durumunda WEBENFO YAZILIM'ı haberdar edeceğini kabul eder ve yeni alan adı (domain) için yeni bir sözleşme yapılacağını kabul eder.

9. MÜŞTERİ WEBENFO YAZILIM'ın haberi olmadan sözleşmenin konusu olan websitesinin alan adı dışına taşınması ve/veya başka bir alan adında kullanılması, yayına başlanması durumunda WEBENFO YAZILIM'ın telif haklarının ihlali sayılır.

Madde 5 : Gizlilik ve Güvenlik

1. WEBENFO YAZILIM karşılıklı güven esasına dayanarak MÜŞTERİ'yi destekler ve yararlı olacak eylemlerde bulunur. MÜŞTERİ de aynı şekilde maddi ve manevi olarak WEBENFO YAZILIM'ı destekler ve yararlı olacak eylemlerde bulunur.

2. Hem WEBENFO YAZILIM hem de MÜŞTERİ birbirlerinin gizlilik kurallarına saygı göstermelidir. All information that does not have to be shared with third parties and is not already accessible to other people are considered confidential and should not be shared with other people.

3. WEBENFO YAZILIM declares and undertakes that it will not share or allow the use of File Transfer Authorization (FTP), Database, Management Control Panel passwords and customer information and private information registered in the site content and database with third parties and organizations.

4. WEBENFO YAZILIM is not responsible for any damages that may arise in case the passwords fall into the hands of 3rd parties or organizations due to any intention, negligence or fault of the CUSTOMER's own employees.

Article 6: Validity of Electronic Records

1. Electronic correspondence and approval records such as e-mails, instant messages and faxes made between the parties and by the authorities of the parties are considered as legally valid evidence and accepted as final and binding evidence in the context of procedural law.

Article 7 : Notifications

For all kinds of notifications to be made regarding this agreement and its implementation, the parties have determined the addresses written in this agreement as their legal residence. The parties accept, declare and undertake that unless they notify the other party of the changes in these addresses through a notary public or registered letter, the notifications to be made to these addresses will be deemed to be valid, proper and made to them.

Article 8: Pricing and Payment

1. The fee to be paid for the preparation of the website has been agreed upon in advance and has been determined as ………………… TL (VAT included).

2. CUSTOMER accepts, declares and undertakes to pay 1/2 of the Service fee in advance at the beginning of the work and the remaining 1/2 against invoice at the completion of the work to WEBENFO YAZILIM. The fee to be paid at the end of the work is accepted and declared and undertaken to be paid to WEBENFO YAZILIM no later than one week after the invoice date, which will be issued after the site is delivered ready and approved in writing or by e-mail and the necessary checks are completed. In case of delay, re-pricing will be applied to the remaining payment. When increasing the pricing, TEFE CPI inflation rate will be taken as basis.

3. If the CUSTOMER does not pay 1/2 of the service fee in advance at the beginning of the work, the work will not start.

4. In case of non-payment, WEBENFO YAZILIM has the right to postpone, stop the service it has committed or terminate the contract.

5. When the CUSTOMER requests to change the design or software being worked on as a whole during the production phase, it accepts to pay a difference of 35% of the contract amount and 15% for changing certain parts. Changing as a whole means changing at least more than 50% of the current design. By changing certain parts, we mean that less than 50% of a request or code snippet is changed or added.

Article 9: Completion and Cancellation of the Work

1. If the work will not be completed for a reason other than the CUSTOMER, WEBENFO YAZILIM is obliged to refund all fees received. Natural disasters (earthquake, flood etc.), illness, death etc. that are not caused by both parties will not be considered as a reason other than CUSTOMER.

2. When all software and design products/works (including website, website draft, website approved draft, corporate documents, logo, business card and other printed documents, mockup presentations) made for CUSTOMER are delivered/presented to the Customer digitally or by e-mail after the contract, WEBENFO YAZILIM has not completed 100% of the work. MS', sans-serif;">will not refund the 50%' prepayment portion taken at the beginning of the job' even if it has not been delivered.

3. The CUSTOMER accepts, declares and undertakes to pay the entire agreed fee to WEBENFO YAZILIM in the event that the CUSTOMER cancels the work for a reason not caused by WEBENFO YAZILIM when 70% or more of the work is completed. CUSTOMER shall terminate the contract when the work has been completed at least 70%'' Unicode MS', sans-serif;">in case of cancellation in the event of payment to WEBENFO YAZILIM in proportion to the work completed. By 70% of the work, we mean that the main aspects of the work have been completed and the remaining 30% is still functional.

Article 10: Warranty and Support Scope

1. WARRANTY PERIOD shall start from the date the web site is tested and published in working condition to fulfill all desired functions and shall be 1 year in total.

2. WEBENFO YAZILIM is obliged to correct software errors and problems (bugs) that may occur in relation to the services it provides to the CUSTOMER. No additional charges will be charged for these corrections. The validity period of this article is 1 year.

3. The CUSTOMER will be informed about the use of the administration panel in detail once without any additional charge (defining products, categories, logos, settings to the system, etc.).

4. The website will be meticulously developed by WEBENFO YAZILIM and will be free of possible errors during the testing phase. No additional fee will be charged for the correction of software or design errors that may occur during the 1-year warranty period or for intervention and restoration of the site in case it is not working.

5. WEBENFO YAZILIM supports the CUSTOMER based on mutual trust and takes beneficial actions. CUSTOMER also supports WEBENFO YAZILIM both materially and morally and takes beneficial actions.

6. If CUSTOMER requests more comprehensive support and development services after completion of the work, this service will be provided to the Customer for a separate fee to be determined by WEBENFO YAZILIM and this fee will be paid to WEBENFO YAZILIM in advance. The scope of the support service to be received determines this fee amount.

7. Provision of Hosting/Server and domain services is not within the scope of support and is supplied by the CUSTOMER himself. However, within the scope of support service, a request to find a suitable Server/Hosting service from WEBENFO YAZILIM may be made.

8. If there is a server/hosting service mediated by WEBENFO YAZILIM within the scope of support service (finding a suitable server/hosting service), in case of insufficient server capacity in case of increase in website traffic, the capacity increase request is made by the CUSTOMER and the CUSTOMER shall artırım accepts, declares and undertakes to cover the necessary expenses for it.

9. If the CUSTOMER requests support or maintenance service from a company other than WEBENFO YAZILIM or has the work done, WEBENFO YAZILIM has the right to unilaterally stop the support service and if a payment has been received for this service, the payment will not be refunded.

10. Regardless of the scope of support service received, CUSTOMER shall be liable to WEBENFO SOFTWARE for code snippets that take more than 5 business days to develop'a separate fee is accepted, declared and undertaken.

11. If the CUSTOMER does not have any payment for the Support service, it may stop receiving unilateral support and the same situation occurs in WEBENFO Valid for the SOFTWARE.

12. In cases requiring expertise, WEBENFO SOFTWARE is not responsible for any damages that may arise from decisions taken without considering WEBENFO SOFTWARE's suggestions and services. In case of damage to WEBENFO SOFTWARE, CUSTOMER is responsible for covering the damages.

Article 12: Competent Courts and Enforcement Offices

Istanbul Courts and Enforcement Offices are competent to resolve all disputes that may arise from the implementation of this agreement.
